Why this exists

Why mid-market companies leak on recurring software

Your CA files what arrives on their desk. Your accounting software computes the maths once a bill is entered. But when international SaaS is billed across team cards and employee reimbursements, charges hit the ledger as vague bank lines without vendor identity or tax treatment. Nobody owns the complete, de-aliased population — that is the gap we close.

Leak 1

Silent RCM tax & 18% interest drag

Foreign-billed software (Figma, Notion, Microsoft Web Direct, dev tools) attracts reverse-charge IGST under s.5(3) IGST Act. The foreign vendor cannot issue an Indian GST invoice, so your company must raise a self-invoice within 30 days (Rule 47A).

If undeclared, you owe the tax in cash plus interest under s.50. RCM cannot be discharged from accumulated ITC.

Leak 2

Stranded & time-barred Input Tax Credit

Indian entities of global tools or domestic vendors frequently invoice without your GSTIN on file. Under s.16(4), unclaimed ITC lapses on the earlier of 30 November following the financial year or the annual-return date.

Every un-reissued invoice and un-raised self-invoice is real business cash permanently forfeited.

Leak 3

Ghost subscriptions & silent auto-renewals

Industry analysis of standardised cloud agreements finds most auto-renew, and a large share require a 30-day non-renewal notice. Many include automatic fee increases.

Seats paid for departed staff, duplicated tools, and annual contracts that renew because nobody tracked the notice window.

Tax logic & vendor routing

“GSTIN on file” doesn’t mean what most companies think

Your tax liability depends on which legal entity contracts and invoices, not the vendor’s brand name — and not simply whether your GSTIN is on file. The same brand can be domestic on one product line and cross-border on another.

Note: Vendors absent from our reference table default to “foreign-billed / RCM-eligible — evidence required.” The invoice is always the deciding evidence. Routes change per product line and contract vehicle, so we maintain the table at vendor × product × contract-vehicle granularity.

No software adoption required

A forensic audit pack, ready for CA execution

In 7–10 working days your finance team and CA receive a complete, verifiable deliverable pack. No logins to maintain, no dashboards to check, no integrations to adopt.

Master Vendor & Tax Register (XLSX)

One unified view: vendor, owner, card/account, currency, domestic vs. foreign entity, GSTIN status, RCM liability and self-invoice status.

Sourced Basis & assumption column on every tax row, with statutory citations.

Dated Act-by Calendar (ICS + Sheet)

Exactly when self-invoices must be raised to satisfy Rule 47A, upcoming contract cancellation notice windows, and s.16(4) ITC cut-offs.

Every deadline carries a named owner.

Ready-to-Send Action Drafts

Pre-formatted GSTIN-reissue requests to domestic vendors, and contract cancellation or downgrade notices with clause citations.

You review and send. We never send on your behalf.

Procurement & Remittance Policy (PDF)

Forward rules for future purchases: who may buy, which card, mandatory GSTIN inclusion, and remittance steps.

A named, delivered artifact — not general advice.

CA Hand-Off Sheet (PDF)

Built for your Chartered Accountant: the register subset, GSTR-3B Table 3.1(d) breakdown, Rule 56(1) record-keeping, and the direct-tax/remittance line.

The only place the direct-tax exposure line appears — never on your board pack.

Showing what we could not confirm — with a stated reason — is what makes the rest of the register credible.

Radical transparency

Why we refuse vendor kickbacks and reseller margins

No single component of the offer clears the fee alone against a free alternative. Defensibility rests on assembling all three components — plus written independence — into one CA-accepted, evidenced deliverable.

Free “savings” tools

  • Reseller margins and vendor kickbacks
  • Cannot impartially tell you to cancel a vendor that pays them
  • No Indian GST RCM or self-invoice capability

Your traditional CA

  • Excellent at filing what is handed to them
  • No time to parse thousands of ambiguous ledger lines
  • Does not pull contract notice terms

Ventrix

  • 100% client-funded: ₹0 from vendors, ever — signed in the engagement letter
  • Ledger-deep discovery: we de-alias the messy narrations already in your books
  • CA-collaborative: we feed your CA the evidence; we never file or advise

Zero friction & DPDP-ready

How an audit happens — without handing over bank credentials

  1. Day 1–2

    1.Ledger & document intake

Supply standard ledger/trial-balance exports (Tally, Zoho Books, Busy, Marg), company-card statements, reimbursement claims and signed SaaS order forms.

We never ask for bank logins, employee personal-card statements, or OAuth access.

  2. Day 3–6

    2.De-aliasing & forensic verification

Vision models parse unstructured billing lines against our Indian-billing reference table. Every computation is deterministic — not LLM guesswork — and a human specialist reviews all tax rows.

Low-confidence fields become human questions, never guesses.

  3. Day 7–10

    3.CA hand-off & execution

Receive the five deliverables with per-row Basis notes and an explicit could-not-confirm list. Your CA reviews the GSTR-3B RCM numbers and files; you send the drafted emails.

We never file returns, give legal opinions, or cancel on your behalf.

Encryption in transit and at rest; per-engagement isolation.

DPDP-aligned itemised consent; purpose limitation enforced.

Deletion on request, with a written deletion date on the consent.

Answers

Frequently asked questions

How does Ventrix differ from tools like ClearTax or Zoho Books?

Accounting systems compute RCM only after someone identifies the vendor, determines taxability, and types the bill in. They cannot look into your general ledger, de-alias an ambiguous bank line (FIGMA*SANFRANCISCO), decide whether a Microsoft Web Direct charge is billed from Singapore or India, or extract cancellation clauses from signed PDFs. We do the discovery work upstream and feed them clean data.

Why do we need self-invoices for foreign SaaS? Doesn't the vendor send an invoice?

Under s.31(3)(f) CGST, a registered recipient must issue an invoice to itself for reverse-charge supplies from an unregistered supplier. Under Rule 36(1)(b), this self-invoice is the document required to claim Input Tax Credit. Effective 1 November 2024 (Rule 47A), the self-invoice must be issued within 30 days of receiving the supply.

Do you require access to our net banking or accounting software?

Never. No bank APIs, screen scrapers, or OAuth tokens. You provide standard Excel/CSV/PDF exports of your ledger and company-card statements.

What about DPDP (Digital Personal Data Protection Act) compliance?

We intake ledger files and company cards, and we strictly refuse founders' and employees' personal card statements — so personal data entry is minimised by design. Files are held in isolated, access-controlled environments, used only for the engagement, and deleted on the schedule stated on your consent (with a written deletion date).

Will this upset our current Chartered Accountant?

CAs value Ventrix because we do the forensic ledger work their teams dislike and cannot easily bill for. We deliver a ready-to-file schedule that supports Rule 56(1) CGST record-keeping and strengthens their client's position. We never file returns, offer legal opinions, or position ourselves as an audit of the CA.

Is the pricing final?

Pricing is indicative and provisional for early engagements, confirmed in your proposal. Flat fees only — no savings-share, success fee, or vendor commission, ever.
